PART B - CLIENT SERVICE TERMS
1. HOW THE AGREEMENT IS FORMED
1.1 The Agreement. Part B of these Terms, the order form, proposal, invoice or checkout page that describes your services and fees (the "Order Form"), and any Business Associate Agreement we sign with you (the "BAA") together form the agreement between you and LeedForce (the "Agreement"). You accept the Agreement by signing or accepting an Order Form, by ticking an acceptance box, or by paying any fee.
1.2 Order of precedence. If these documents conflict, they apply in this order: (1) the BAA, for protected health information; (2) the Order Form; (3) these Terms.
1.3 Authority. The person accepting the Agreement confirms that they are authorized to bind the Client, and that the Client is a licensed dental practice or a business acting on behalf of one.
1.4 No minimum term. Unless the Order Form says otherwise, there is no minimum commitment. Either party can end the Agreement at any time under section 14.
2. DEFINITIONS
"Campaign": an advertising campaign we design and manage for you, mainly on Meta (Facebook and Instagram), run in your own ad account.
"Campaign Lead": a person who submits their details or contacts you in response to a Campaign.
"LeedForce System": the tools we configure and operate for you, including lead forms, landing pages, CRM, calendars, automated follow-up and the AI Receptionist.
"AI Receptionist": the AI voice assistant we configure to call Campaign Leads, answer calls and book appointments for you.
"High-Ticket Treatment": dental implants (including full-arch and All-on-X), veneers (porcelain or composite), clear aligners (Invisalign or equivalent), and any other treatment listed in the Order Form.
"New Patient": a person who has not been a patient of record of your practice in the 3 years before the booking.
"Billable Booking": has the meaning given in section 4.3.
"Ad Spend": the amounts paid to advertising platforms to run Campaigns.
"PHI": protected health information as defined by HIPAA.
3. OUR SERVICES
3.1 What we do. As described in your Order Form, we may: plan, create and manage Campaigns in your ad account; create lead forms and landing pages; set up the LeedForce System; follow up Campaign Leads by AI Receptionist, text message and email; book appointments into your calendar; provide reporting; and support your team with call and sales scripts.
3.2 Launch. We start building once we receive everything listed in section 8. We aim to launch within 14 days of receiving it.
3.3 Tools and subcontractors. We use third-party tools and may use subcontractors. We remain responsible for their work under this Agreement.
3.4 No guarantee of results. We will perform the services with reasonable skill and care, using our best efforts. Results depend on many factors outside our control, including your market, offer, prices, reputation, reviews, the speed and quality of your team's follow-up, competition and advertising platform algorithms. We do not guarantee any number of leads, bookings, show-ups, treatments, revenue or return on Ad Spend. Any figures we share, such as average case values or past results, are estimates, not promises.
3.5 Platform changes. Advertising platforms, phone carriers and AI providers regularly change their rules and features. We will adapt reasonably, but we are not responsible for their changes.
4. FEES
4.1 Setup Fee. A one-time Setup Fee of USD 2,000, unless the Order Form states a different amount, is payable in advance. It covers onboarding, building the LeedForce System, configuring the AI Receptionist, and 90 days of maintenance from launch. After those 90 days, maintenance continues as stated in the Order Form.
4.2 Per-Booking Fee. For each Billable Booking, you pay a fixed Per-Booking Fee of USD 250, unless the Order Form states a different amount.
4.3 Billable Booking. A Billable Booking is an appointment that meets all of the following conditions:
(a) it is for a consultation or treatment relating to a High-Ticket Treatment;
(b) it is booked into your calendar through the LeedForce System;
(c) it is with a Campaign Lead;
(d) the Campaign Lead is a New Patient; and
(e) the Campaign Lead confirmed the appointment, by replying to a reminder, by phone or through a confirmation link, on the day before the appointment, or at the time of booking if the appointment is on the same or the next day.
4.4 After confirmation. A Billable Booking remains billable if, after confirming, the person does not show up, cancels or reschedules late, is not accepted for treatment, or does not buy any treatment. Rescheduling the same person's appointment does not create a new Billable Booking.
4.5 Not billable. The following are not Billable Bookings:
(a) appointments cancelled before they were confirmed;
(b) duplicates: the same person is billed no more than once every 90 days;
(c) obvious spam, fake or test entries;
(d) existing patients who are not New Patients (see 4.7);
(e) appointments for treatments that are not High-Ticket Treatments;
(f) unless the Order Form says otherwise, calls handled by the AI Receptionist that do not come from a Campaign, for example your existing patients calling your usual number.
4.6 Bookings outside the System. If a Campaign Lead books with you through another channel, for example by calling your front desk directly, within 30 days of first entering the LeedForce System, and the booking otherwise meets section 4.3, it counts as a Billable Booking. Please book Campaign Leads through the LeedForce System so that records stay accurate.
4.7 Records and disputes. The booking, confirmation and call records in the LeedForce System are the primary reference for billing. You can dispute a booking within 7 days of the related charge by emailing us your reasons, for example a patient record showing a visit in the previous 3 years. We will review it in good faith and credit any booking that does not qualify. Charges not disputed within this period are final. You agree to use this process before disputing a charge with your bank or card issuer.
4.8 Billing and payment. You authorize us to keep a payment card or other payment method on file and to charge: the Setup Fee when you accept the Agreement; and Per-Booking Fees weekly, for the previous week's Billable Bookings, with an itemized list. All amounts are in US dollars. Our fees do not include taxes; you are responsible for any taxes other than taxes on our income. VAT: not applicable, article 293 B of the French General Tax Code.
4.9 Late or failed payment. If a payment fails, you have 5 days to fix it. After that, we may pause the services, including the Campaigns we manage, until payment is made. Late amounts bear late-payment interest at three times the French legal interest rate from the due date, plus a fixed indemnity of EUR 40 for recovery costs, as provided by article L441-10 of the French Commercial Code, plus any additional reasonable collection costs.
4.10 Price changes. We may change our fees for the future by giving you 30 days' written notice. If you do not accept the change, you may terminate the Agreement before it takes effect.
4.11 Setup Fee refunds. The Setup Fee pays for work that starts immediately. It is non-refundable once onboarding has started, with one exception: if we fail to launch within 30 days after receiving everything listed in section 8, for reasons within our control, you may cancel the Agreement and receive a full refund of the Setup Fee.
5. OUR FEES AND HEALTHCARE LAWS
5.1 Nature of our fees. Our fees pay for advertising, technology, lead handling and scheduling services. They are fixed in advance. They are not a percentage of, and do not depend on, any professional fee, treatment value, collections, revenue, insurance status or payer of any patient. We do not receive any share of your professional fees.
5.2 No referrals or steering. We are not a health care provider, and we do not refer, recommend or steer any person to you or to any other provider. Each person who responds to a Campaign decides freely whether to contact you and book an appointment. All clinical decisions, diagnoses, treatment plans and prices are made solely by you and your licensed professionals. We have no control over them.
5.3 Federal health care programs. Campaigns are not targeted at beneficiaries of Medicare, Medicaid or other federal health care programs, and our fees do not vary with the volume or value of any federal health care program business.
5.4 Your responsibility. Laws on fee-splitting, patient brokering, referral fees and professional advertising vary from state to state. You are responsible for confirming, with your own advisers if needed, that the fee structure and the advertising you approve comply with the laws and dental board rules that apply to your practice. By accepting the Agreement, you confirm that, to your knowledge, they do.
5.5 Alternative fee. If a court, a regulator or your legal adviser concludes that the Per-Booking Fee is not permitted for your practice, either party may notify the other in writing. From that notice, the Per-Booking Fee is replaced by a fixed monthly fee for the same services, reflecting their fair market value and agreed in good faith. If we cannot agree on that fee within 15 days, either party may terminate the Agreement. To the extent permitted by law, services performed before the notice remain payable.
6. ADVERTISING ACCOUNTS AND AD SPEND
6.1 Your ad account. Campaigns run in an ad account that you own, in your own business portfolio, with your own payment method. You give us partner or user access as needed. You pay Ad Spend directly to the platform. It never passes through us and is not part of our fees.
6.2 Budget. You decide your Ad Spend. We recommend a monthly budget, but results depend on it, and a lower budget may give fewer results.
6.3 Platform decisions. Advertising platforms may reject ads, restrict health-related targeting, restrict or disable accounts, or change their prices at their own discretion. We follow their policies, but we are not responsible for their decisions, for Ad Spend or for account restrictions, unless they are caused by our breach of the Agreement.
6.4 Your approval of ads. Before launch, we send you the ad copy, visuals, landing pages and offers for approval. By approving them, by email or by not objecting within 3 business days, you confirm that they are accurate and comply with the laws and rules that apply to dental advertising in your state, such as licensing disclosures, specialty claims, rules on prices and discounts, testimonials and before-and-after images. We will not publish patient testimonials, before-and-after images, claims of superiority or promises of results unless you provide and approve them and confirm that they are lawful.
7. AI RECEPTIONIST, CALLS AND TEXT MESSAGES
7.1 Consent. The AI Receptionist and automated text messages contact only: (a) people who asked to be contacted through a Campaign form that includes consent language naming your practice, with an unticked box, where consent is not a condition of purchase; (b) people who call your practice; and (c) other people for whom you confirm, in writing, that they gave the consent the law requires for that type of contact, and for whom you can provide the consent records. You must not give us contact lists, such as old leads, purchased lists or past patients, to call or text unless condition (c) is met.
7.2 Our standard safeguards. By default, the LeedForce System:
- identifies itself as an AI assistant at the start of each call and identifies your practice;
- tells callers when a call is recorded and transcribed, and lets them ask not to be recorded;
- honors opt-out requests (STOP replies, verbal requests, emails) and adds them to a do-not-contact list;
- calls and texts only between 9 a.m. and 8 p.m. from Monday to Saturday, and between noon and 8 p.m. on Sunday, in the recipient's local time, and not on federal holidays;
- makes no more than 3 call attempts to the same person in any 24-hour period;
- keeps consent records for at least 5 years.
You agree not to ask us to disable these safeguards.
7.3 Phone numbers and registrations. Telecom registrations needed for calling and texting, such as A2P 10DLC, caller ID authentication and caller name display, are made under your practice's legal identity, and you provide accurate information for them. Phone carriers may filter or block calls and messages, which can affect delivery.
7.4 Not medical advice, not an emergency service. The AI Receptionist provides scheduling and general practice information only. It does not diagnose, give medical or dental advice, or quote prices, unless you instruct it to share specific information you have approved. It is instructed to tell anyone describing an emergency to call 911 or go to the nearest emergency room. It is not an emergency service.
7.5 Limits of AI. AI and speech recognition can make mistakes. They can mishear names or numbers, misunderstand a request or fail to book an appointment. You must review bookings, call summaries and callback requests every day, keep a person available to take transferred calls and handle callbacks during opening hours, and keep your practice information up to date. We will correct errors promptly once we are aware of them. We are not liable for the consequences of mistakes made by the AI Receptionist while operating in good faith, except to the extent they are caused by our negligence or our breach of the Agreement.
7.6 Recordings. Call recordings and transcripts are kept for the period stated in the Order Form or in your written instructions (by default, 90 days for recordings) and are used only to provide the services to you.
8. YOUR RESPONSIBILITIES
You will:
(a) provide on time accurate information (opening hours, treatments, team, insurance accepted, policies, calendar availability and any prices you approve) and the access we need (ad account, calendar, call forwarding);
(b) keep your professional licenses and comply with the laws and dental board rules that apply to your practice;
(c) publish a privacy policy that covers the Campaigns and the LeedForce System and, where your state requires it, a consumer health data privacy policy, and give us their links;
(d) follow up with booked patients and honor confirmed appointments;
(e) not use the services for anything unlawful or misleading;
(f) tell us promptly about any complaint, opt-out request or legal notice relating to the services.
If information or access is late, our timelines are extended accordingly.
9. DATA PROTECTION, HIPAA AND CONFIDENTIALITY
9.1 Roles. For personal data about your patients and prospective patients processed through the services ("Client Data"), you are the controller and, where HIPAA applies, the covered entity. We are your service provider and processor and, where HIPAA applies, your business associate.
9.2 Business Associate Agreement. Where HIPAA applies, we will sign a BAA with you before we create, receive, maintain or transmit any PHI for you. Services involving PHI start only once the BAA is signed. You will not send PHI to us through unsecured channels, such as regular email, or outside the LeedForce System.
9.3 How we process Client Data. We process Client Data only on your documented instructions, which are set out in this Agreement, to provide the services and for the duration of the Agreement. The data concerned is identification and contact data, treatment interest, appointment data, call recordings and transcripts. The people concerned are prospective patients, patients and callers. We:
- make sure that anyone with access to Client Data is bound by confidentiality;
- apply appropriate technical and organizational security measures;
- use sub-processors only under written obligations at least as protective as these. You authorize the sub-processors listed in our Privacy Policy. We will tell you about any change, and you may object on reasonable grounds;
- help you respond to requests from individuals and meet your security, breach notification and assessment obligations;
- notify you without undue delay of any breach affecting Client Data, and within any shorter period set in the BAA;
- delete or return Client Data within 30 days after the end of the services, unless the law requires us to keep it;
- give you the information needed to demonstrate compliance with these obligations.
These terms are intended to meet article 28 of the GDPR, which applies to us as a processor established in France, and the requirements of US state privacy laws for service providers and processors.
9.4 Limits on our use. We will not sell Client Data, use it to market our own services to your patients, combine it with other clients' data, or use it to train AI models. We may use aggregated, de-identified statistics, such as average cost per booking, that do not identify you or any individual. We will name you as a client or publish a case study about you only with your prior written consent.
9.5 Confidentiality. Each party will keep the other party's confidential information (non-public business information, prices, data, scripts and workflows) confidential and use it only for the Agreement, during the Agreement and for 3 years after it ends, and without time limit for PHI and trade secrets.
10. INTELLECTUAL PROPERTY
You keep ownership of your ad account, your data, your brand and the content you provide. Once the related fees are paid, you may use the ad creatives we produce for you, without time limit. We keep ownership of our templates, scripts, prompts, workflows, automations, software and know-how. During the Agreement, we give you the right to use them as part of the services.
11. WARRANTIES
Each party confirms that it has the authority to enter into the Agreement and will comply with the laws that apply to it. We will perform the services with reasonable skill and care. You confirm that the information and content you provide are lawful and accurate, and that you meet section 7.1 for any contacts you provide. Except as stated in the Agreement, the services are provided "as is", and, to the extent permitted by law, we exclude all other warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
12. LIMITATION OF LIABILITY
12.1 Neither party is liable for indirect or consequential losses, including lost profits, revenue, patients, goodwill or data, even if they were foreseeable. We are not liable for Ad Spend, decisions of advertising platforms, or call and message filtering by phone carriers.
12.2 Our total liability arising out of or relating to the Agreement, in any 12-month period, is limited to the fees you paid us during the 3 months before the event giving rise to the claim.
12.3 These limits do not apply to: liability that cannot be limited by law; gross negligence or willful misconduct; your payment obligations; or a party's obligations under section 13 for third-party claims caused by its own unlawful acts.
12.4 To the extent permitted by law, any claim relating to the Agreement must be brought within one year of the event giving rise to it.
13. INDEMNITY
13.1 By you. You will defend us and indemnify us against third-party claims, fines and reasonable legal costs arising from:
(a) content, offers, claims or information you provide or approve;
(b) your clinical services and the acts of your staff;
(c) contact lists or data you provide in breach of section 7.1, or instructions from you that we follow in good faith;
(d) your breach of the laws that apply to your practice, including dental advertising rules, fee-splitting or patient-brokering rules as they apply to you, and the HIPAA obligations of a covered entity;
(e) your breach of the Agreement.
13.2 By us. We will defend you and indemnify you against third-party claims and reasonable legal costs to the extent they arise from our breach of section 7.2 or section 9, or from our gross negligence or willful misconduct, subject to section 12.
13.3 Process. The party seeking indemnity must notify the other promptly, let it control the defense, and cooperate reasonably. Neither party may settle a claim in a way that admits fault on behalf of the other without its consent.
14. TERM AND TERMINATION
14.1 Duration. The Agreement starts when you accept it and continues until it is terminated.
14.2 Termination for convenience. Either party may terminate the Agreement at any time, for any reason, with 14 days' written notice. Email is enough.
14.3 Termination for cause. Either party may terminate the Agreement immediately by written notice if the other party materially breaches it and does not fix the breach within 7 days of being notified. We may also suspend or terminate the services immediately if you do not pay as set out in section 4.9, if you ask us to do something we reasonably believe is unlawful, or if continuing would expose us to legal liability.
14.4 Effect of termination. When the Agreement ends: we stop the Campaigns we manage and remove our access, and you keep your ad account; Per-Booking Fees for Billable Bookings booked before the end date remain payable, including those confirmed after it; on request made within 30 days, we will give you an export of your Client Data, and then delete it as set out in section 9.3; and the Setup Fee is not refundable, except under section 4.11.
14.5 Survival. Sections 4, 5, 9, 10, 11, 12, 13 and 15 to 22 survive the end of the Agreement.
15. FORCE MAJEURE
Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages of advertising platforms, software or phone providers, internet failures, changes in law, natural disasters and epidemics. Payment for services already performed remains due.
16. RELATIONSHIP OF THE PARTIES
We are independent contractors. Nothing in the Agreement creates a partnership, joint venture or employment relationship. We act on your behalf only to run Campaigns and contact Campaign Leads as described in the Agreement.
17. CHANGES TO THESE TERMS
We may update these Terms. For existing Clients, changes take effect 30 days after we notify you by email. If you do not accept them, you may terminate the Agreement before they take effect. Changes never modify the fees in your current Order Form without your consent.
18. ASSIGNMENT
Neither party may transfer the Agreement without the other's written consent, except that we may transfer it to a company we create or control to continue our business, after notifying you.
19. NOTICES
Notices are sent by email: to the address in your Order Form, and to us at [email protected].
20. GENERAL
The Agreement is the entire agreement between the parties about its subject and replaces any previous discussions. If any provision is found invalid, the rest of the Agreement remains in force, and the invalid provision is replaced by the valid provision closest to its purpose. Not enforcing a right is not a waiver of it. These Terms are written in English, and the English version prevails over any translation.
21. GOVERNING LAW AND DISPUTES
21.1 French law governs the Agreement and these Terms, excluding its conflict-of-law rules.
21.2 Before starting any proceedings, the parties will try in good faith to resolve the dispute by email or video call for 30 days.
21.3 The competent courts of Marseille, France, have exclusive jurisdiction, except that we may also bring a claim for unpaid amounts before the courts of the place where you are established.
21.4 To the extent permitted by law, each party brings claims only in its individual capacity, and not as a plaintiff or class member in any class or representative action, and each party waives any right to a jury trial for any claim heard in the United States.
